Terms and Conditions
1. Agreement Overview These Terms and Conditions ("Agreement") govern the provision of software solutions and related services ("Services") offered by WINJI DEV LTD ("Provider") to the subscribing entity ("Customer"). By subscribing to the Services, the Customer agrees to these terms.
2. Scope of Services The Services include:
- Ordering Mobile App: A custom mobile application for ordering.
- Ordering Website: A responsive website for customer orders.
- Delivery Man App: A mobile application for delivery personnel.
- In-Restaurant Ordering App: A solution for in-restaurant ordering.
- Web Hosting: Hosting of the website and apps on Provider’s servers.
- Free Domain: One free domain name registration for one year.
- Product Listing Assistance: Guidance and support for product listing for one month.
3. Subscription Plans The subscription plans available are:
- Monthly
- Semi-annual (6 months)
- Annual
Subscriptions are billed after the initial setup is completed.
4. Initial Setup and Additional Costs 4.1 Initial Setup The initial setup includes:
- Configuration of the software solutions.
- Basic training and orientation for Customer’s team.
4.2 Additional Costs The following costs are not included in the subscription and must be borne by the Customer:
- Apple Developer Account Fee: $99 (paid directly by the Customer to Apple).
- Google Play Developer Account Fee: $25 (one-time payment to Google by the Customer).
- Payment Integration Costs: Stripe charges approximately 2% per transaction for online payments. These fees are paid directly to Stripe by the Customer.
5. Payment Terms
- Subscription fees are due and payable upon completion of the initial setup.
- Payment methods accepted include Credit and Master Cards.
- Late payments may result in suspension of Services until the account is settled.
6. Customer Responsibilities
- Ensure timely payment of subscription and additional fees.
- Provide necessary information and approvals for setup and integration.
- Maintain compliance with applicable laws and regulations regarding online payment systems and data privacy.
7. Service Activation
- Services will commence upon receipt of all necessary Customer inputs and completion of the initial setup.
- Online payment functionality is integrated using Stripe, subject to Stripe’s terms and conditions.
8. Hosting and Domain
- The Provider offers hosting on its servers for the duration of the subscription.
- The free domain is provided for one year. Renewal costs after the first year are the responsibility of the Customer.
9. Support and Maintenance
- The Provider offers product listing assistance for one month.
- Ongoing support is available for an additional fee, unless otherwise agreed.
10. Data and Privacy
- The Provider will handle Customer data in compliance with applicable data protection laws.
- Customers are responsible for maintaining the confidentiality of their login credentials and ensuring their end-users’ data is handled appropriately.
11. Termination
- Either party may terminate this Agreement with 30 days' written notice.
- In case of termination, no refunds will be provided for unused portions of the subscription.
12. Liability and Disclaimer
- The Provider is not responsible for any third-party charges or fees incurred by the Customer (e.g., Apple, Google, or Stripe).
- Services are provided "as is" without any express or implied warranties. The Provider disclaims all liability for any loss or damage arising from the use of the Services.
13. Amendments The Provider reserves the right to amend these terms and conditions at any time. Customers will be notified of changes in advance.
14. Governing Law This Agreement is governed by the laws of England and Wales. Any disputes arising under this Agreement shall be resolved in the courts of England and Wales.
15. Entire Agreement This Agreement constitutes the entire understanding between the Provider and the Customer and supersedes all prior agreements, representations, or understandings.
By subscribing to the Services, the Customer acknowledges that they have read, understood, and agree to these Terms and Conditions.
